01Acceptance of the Terms
By accessing or using the Eucalipto platform, hereinafter referred to simply as the Platform or the Service, you represent that you have read, understood, and accepted these Terms of Use, as well as our Privacy Policy. If you do not agree with any provision, you must not use the Service.
If you use the Platform on behalf of a company or another legal entity, you represent that you have the authority necessary to bind that entity to these Terms.
02Description of the Service
Eucalipto is an omnichannel communication platform that integrates Official WhatsApp, telephone, SMS, and email, with artificial intelligence and CRM features, designed to centralize and optimize companies' customer service and relationship operations.
We reserve the right to modify, suspend, or discontinue, in whole or in part, any feature of the Service at any time, with prior notice whenever reasonably possible.
03Registration and Account
To use certain features, you must create an account by providing true, complete, and up-to-date information. You are responsible for maintaining the confidentiality of your access credentials.
You are solely responsible for all activities carried out under your account and must notify Eucalipto immediately of any unauthorized use or suspected security breach.
04Plans, Subscriptions, and Payments
Access to certain features is conditioned upon subscribing to a paid plan. The applicable prices, billing cycles, and conditions are presented at the time of subscription.
Subscriptions renew automatically at the end of each cycle unless canceled beforehand. Failure to make payments may result in the suspension or termination of access to the Service.
- Prices may be adjusted upon prior notice.
- Applicable taxes may be added to the stated amounts.
- Unless otherwise required by law, amounts already paid are non-refundable.
05Acceptable Use
You agree to use the Platform in compliance with applicable law and with the policies of the integrated providers, including the WhatsApp Business rules. The following is expressly prohibited:
- Sending unsolicited messages (spam) or misleading content.
- Infringing the rights of third parties, including intellectual property and privacy rights.
- Distributing malware or attempting to compromise the security and integrity of the Service.
- Using the Service for unlawful, fraudulent, or discriminatory purposes.
06Intellectual Property
All content on the Platform, including software, trademarks, logos, text, and visual elements, is owned by Eucalipto or its licensors and is protected by applicable law.
These Terms do not grant you any ownership rights in the Platform, but only a limited, non-exclusive, and non-transferable license to use it for the duration of the subscription.
07Personal Data and Privacy
The processing of personal data carried out in connection with the Service is governed by our Privacy Policy and the Brazilian General Data Protection Law (LGPD — Law No. 13.709/2018).
When you use the Platform to communicate with your own customers, you act as the controller of that data and are responsible for obtaining the legal bases necessary for the corresponding processing.
08Availability and Support
We use commercially reasonable efforts to keep the Service continuously available. However, the Service may be subject to interruptions for maintenance, updates, or for reasons beyond our control.
The support channels and hours applicable to your plan are provided on the Platform.
09Limitation of Liability
To the maximum extent permitted by applicable law, Eucalipto shall not be liable for indirect damages, lost profits, loss of data, or interruptions arising from the use of or inability to use the Service.
Eucalipto's total liability, for any cause whatsoever, is limited to the amount actually paid by you for the Service in the 12 (twelve) months preceding the event giving rise to the liability.
10Termination and Cancellation
You may cancel your subscription at any time through your account settings or by requesting cancellation from support. The cancellation takes effect at the end of the current billing cycle.
We may suspend or terminate your access in the event of a breach of these Terms, with notice where appropriate. After termination, your data may be deleted in accordance with our retention policy.
11Changes to the Terms
We may update these Terms from time to time to reflect legal, technical, or business changes. The current version will always be available on this page, together with its update date.
Material changes will be communicated through reasonable means. Continued use of the Service after the changes take effect constitutes your agreement to the new Terms.
12Governing Law and Jurisdiction
These Terms are governed by the laws of the Federative Republic of Brazil. The courts of the district where Eucalipto's headquarters are located are elected to resolve any disputes, with waiver of any other, however privileged it may be.
